Terms of Service - Facebook Lead Ads Integration

1. Acceptance of Terms
By connecting your Facebook Page to PatientPath's Lead Ads integration ("Service"), you ("Clinic", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
2. Service Description
PatientPath's Facebook Lead Ads integration automatically retrieves patient leads submitted through your Facebook Lead Ad forms and syncs them to your PatientPath CRM account. The Service includes:
- OAuth-based Facebook Page connection
- Real-time webhook notifications for new leads
- Automatic lead data retrieval via Facebook Graph API
- Lead assignment to clinic locations
- Lead management and prioritization tools
- Campaign performance tracking
3. Licensing Model
3.1 One Location = One Facebook Page
Each clinic location license permits the connection of ONE (1) Facebook Page only. This restriction is enforced at the technical level through unique database constraints.
3.2 Multi-Location Clinics
If your dental practice operates multiple clinic locations and you want to connect different Facebook Pages for each location, you must purchase additional location licenses. Each location license allows:
- One (1) Facebook Page connection
- One (1) TikTok account connection
- One (1) Google Ads account connection
- Independent lead management for that location
3.3 Reconnection
You may disconnect and reconnect a different Facebook Page to the same location license at any time. However, you cannot have multiple Facebook Pages connected to the same location simultaneously.
4. Your Responsibilities
4.1 Facebook Page Ownership
You represent and warrant that:
- You have administrative rights to the Facebook Page(s) you connect
- You have authority to grant PatientPath access to Page data
- The Facebook Page complies with Facebook's Platform Policies
- You have the right to use the Page for commercial lead generation
4.2 Lead Ad Compliance
You agree to:
- Comply with Facebook Lead Ads Terms and Policies
- Obtain proper consent from lead submitters
- Include accurate privacy disclosures in your lead forms
- Respond to lead data deletion requests promptly
- Use lead data only for legitimate business purposes
- Not sell or share lead data with unauthorized third parties
4.3 Data Protection
You are responsible for:
- Complying with applicable data protection laws (GDPR, CCPA, etc.)
- Acting as data controller for leads collected through your Facebook forms
- Implementing appropriate data security measures
- Training your staff on proper lead data handling
- Maintaining valid consent records
5. Facebook Platform Compliance
You acknowledge and agree that:
- Our Service is subject to Facebook's Platform Terms and Policies
- Facebook may change their APIs, policies, or terms at any time
- We may need to modify the Service to maintain Facebook compliance
- Facebook may suspend or revoke our app access, affecting the Service
- You will comply with all Facebook Business Tools Terms
6. Service Availability
6.1 Uptime
We strive to maintain 99.9% uptime for the Service, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice)
- Emergency maintenance or security updates
- Facebook API outages or rate limiting
- Force majeure events
6.2 Facebook Dependencies
The Service depends on Facebook's APIs and infrastructure. We are not responsible for disruptions caused by:
- Facebook platform outages
- Changes to Facebook's API or policies
- Facebook rate limiting or throttling
- Revocation of Facebook app permissions
7. Data Ownership and Usage
7.1 Your Data
You retain all ownership rights to lead data collected through your Facebook forms. We act as a data processor on your behalf.
7.2 Our Usage Rights
You grant us permission to:
- Store and process lead data to provide the Service
- Generate anonymized, aggregated analytics
- Use data to improve AI features (after anonymization)
- Access data for customer support purposes
7.3 Data Export
You may export your lead data at any time in CSV or JSON format through the PatientPath dashboard.
8. Payment and Billing
8.1 Subscription Fees
The Facebook Lead Ads integration is included in your PatientPath subscription. Additional location licenses are billed according to your subscription plan.
8.2 Additional Fees
You are responsible for any costs associated with your Facebook advertising campaigns. We do not charge per-lead fees or API usage fees for the integration itself.
9. Prohibited Uses
You may NOT use the Service to:
- Violate Facebook's Platform Policies or Lead Ads Terms
- Collect data from minors without parental consent
- Sell or rent lead data to third parties
- Use lead data for discriminatory purposes
- Spam or harass lead submitters
- Circumvent licensing restrictions (e.g., sharing access tokens)
- Reverse engineer or attempt to extract our source code
- Use the Service for illegal activities
10. Termination
10.1 By You
You may disconnect your Facebook Page at any time through the PatientPath dashboard. Disconnection is immediate and will stop new lead syncing.
10.2 By Us
We may suspend or terminate your access to the Service if:
- You violate these Terms
- You violate Facebook's policies
- Your subscription is cancelled or past due
- We are required to do so by law or Facebook
- Your use poses a security risk
10.3 Effect of Termination
Upon termination:
- New lead syncing will stop immediately
- Existing lead data will be retained according to your subscription status
- Facebook access tokens will be deleted within 24 hours
- You may export your data within 30 days
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATIENTPATH SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions caused by Facebook platform issues
- Errors or inaccuracies in lead data provided by Facebook
- Your violation of Facebook's terms or policies
- Unauthorized access to your Facebook account
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless PatientPath from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of Facebook's terms or policies
- Your violation of applicable laws or regulations
- Claims by lead submitters regarding data misuse
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email to your account email address at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Governing Law
These Terms are governed by the laws of Romania. Any disputes shall be resolved in the courts of Romania.
